Standard Terms and Conditions of Sale
ADD ASTRA
The following terms and conditions ("T&C") are provided by ADD ASTRA®, a 3D printing company based in Baltimore County, Maryland, for the sale of any services or products, including but not limited to 3D printed goods, design services, and related offerings. These T&C supersede any prior agreements and are subject to update at ADD ASTRA®'s discretion. By engaging with ADD ASTRA®'s services or products, the client agrees to these T&C.
The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. Any derogation must be expressly agreed to in advance in writing by ADD ASTRA®.
Invoices issued by ADD ASTRA® are payable within 21 working days, unless another payment timeframe is indicated on the invoice or order form. In the event of non-payment by the due date, ADD ASTRA® reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due, in addition to any late fees permitted by Maryland law. ADD ASTRA® will be authorized to suspend any provision of services or delivery of 3D printed goods without prior warning in the event of late payment.
If a payment is still outstanding more than sixty (60) days after the due payment date, ADD ASTRA® reserves the right to engage the services of a debt recovery company and/or pursue legal action. All related legal expenses, including reasonable attorney fees, will be payable by the client.
Certain countries or jurisdictions apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the relevant tax authorities. Under no circumstances can ADD ASTRA® become involved in costs related to a country's or jurisdiction's legislation. The amount of the invoice will therefore be due to ADD ASTRA® in its entirety and does not include any costs relating to the legislation of the country or jurisdiction in which the client is located. The client agrees to indemnify ADD ASTRA® for any such withholdings or related taxes.
ADD ASTRA® undertakes to do its best to supply high-quality 3D printed products and performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. ADD ASTRA® cannot under any circumstances be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer or third party. ADD ASTRA®'s liability for any claims arising from its services or products, including defects in 3D printed goods, is limited to the amount paid by the client for the specific service or product in question, and ADD ASTRA® disclaims all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose, except as required by Maryland law.
The client is responsible for ensuring that any designs, specifications, or files provided to ADD ASTRA® for 3D printing do not infringe on intellectual property rights of third parties. ADD ASTRA® reserves the right to refuse production of any item deemed unlawful or infringing. The client agrees to indemnify ADD ASTRA® against any claims arising from intellectual property violations related to provided designs or specifications.
In order for it to be admissible, ADD ASTRA® must be notified of any claim regarding defects in 3D printed goods or services by means of a letter sent by recorded delivery (or equivalent certified mail) to its registered office in Baltimore County, Maryland, within 8 days of the delivery of the goods or the provision of the services. Failure to provide timely notice waives the client's right to claim.
All contractual relations with ADD ASTRA® will be governed exclusively by the laws of the State of Maryland, United States, without regard to conflict of laws principles. Any disputes arising hereunder shall be resolved in the state or federal courts located in Baltimore County, Maryland, and the client consents to the personal jurisdiction thereof.
These T&C do not engage any third-party responsibility beyond what is explicitly stated and are subject to ADD ASTRA®'s Privacy Policy and other applicable policies available on ADD ASTRA®'s official website. ADD ASTRA® reserves the right to modify these T&C with notice via email or on its website. Continued use of services or placement of orders after such notice constitutes acceptance of changes.
